Overview:

This Trade-In Programme Purchase Agreement is entered into by 1 LIKEWIZE SERVICES UK LIMITED (company registered in England with registration number 08401611) with its registered office at Crewe Logistics Park, Jack Mills Way, Shavington, Crewe, CW2 5XF, England, email APRSupport.UK@Likewize.com (“Likewize”) via Apple Premium Reseller scheme, and 2) the Customer.

“Customer” means the person of legal age (and legal representatives of minors or people who lack legal capacity) trading in an Eligible Device in accordance with these terms and conditions.

“Eligible Device” means any device that is eligible for this Trade-In Programme Purchase Agreement as determined by Likewize in its sole discretion

“APR” means Retailers who participate in the Apple Premium Reseller scheme. These Retailers are Independent 3rd party and are not owned by Apple 

Trade – in programme means the programme run by an APR whereby an Apple customer may trade in their old apple Device, which is sold to Likewize and the purchase price is paid to Apple or an APR and is credited wholly or partly against the purchase of a new Apple device

Customer expressly accepts and understands, acknowledges and agrees that these terms and conditions apply to the contract between the Customer and Likewize for the purchase by Likewize of the Eligible Device from the customer and that neither apple or the APR are a party to Contract and therefore they have no liability to the Customer in respect of this Trade-In Programme Purchase Agreement and the Customer agrees not to hold Apple or the APR responsible in respect of the transaction made under this Trade-In Programme Purchase Agreement, unless APR's acts were performed with bad faith and/or gross negligence. 

If any provision of this Trade-In Programme Purchase Agreement is found to be in breach of the applicable law, regulation or similar statute and, as a result, this Trade-In Programme Purchase Agreement becomes partially null, avoidable and/or unenforceable, this Trade-In Programme Purchase Agreement shall be deemed reduced to the valid and enforceable provisions, and shall remain in force without the invalid and/or unenforceable provisions if it is still possible to fulfil its object and achieve its intended objectives.

Customer represents and warrants that:

they are the sole owner of the Eligible Device or have been authorised by the owner of the Eligible Device and that they are able to make decisions with regards to the Eligible Device

- there are no liens, encumbrances or security interests in or attached to the Eligible Device and that no other party has a legal interest in it;

- any items Customer seeks to trade in/recycle through the Trade-In Programme shall not infringe on any third-party intellectual property right (including copyright, trademarks, patent, trade secrets or other proprietary right);

- they are not an Apple reseller; and 

- the Eligible Device is not counterfeit, stolen or fraudulent. 

Ownership transfers to Likewize:

Upon receipt and acceptance of the Eligible Device by Likewize ( either acting directly or through the APR), title of ownership in such Eligible Device transfers to Likewize from the Customer and Customer disclaims any further right, title or interest in and to the Eligible Device or any items contained therein.

Purchase of new Eligible Device:

Customer agrees that the value received by them for their current Eligible Device is in the form of a discount against purchase of new Apple equipment or in the form of an Apple Gift Card which may be redeemed as part payment against the price of a new Apple device. There is no cash alternative. 

Customer’s responsibility for their data:

Customer agrees that they have the sole responsibility to keep a separate backup copy of any files games, pictures, music downloads, personal information relating to you or your friends or other data (which we collectively refer to as Data) before transferring ownership of the Eligible Device to Likewize; and that Customer has taken reasonable steps to eliminate and delete files and data that are deemed personal or confidential from the Eligible Device, and in the case of a Product with an IOS operating system has additionally removed the iCloud account from the Eligible Device. Data recovery is not a part of the services provided by Likewize or the APR and the APR and Likewize accept no responsibility or liability for any lost files or data once the Eligible Device is in the ownership of Likewize. 

The Customer must reset the Eligible Device to factory settings before handing the Eligible Device to Likewize. Please ensure that the reset option used is the one to delete files and data.

Please refer to (i) for Apple devices - Apple’s guidance on deletion of Data, storing Data to iCloud or other backup, and resetting the Eligible Device to factory settings (ii) for other manufactures – their guidance on deletion of Data, storing Data to the cloud or other backup, and resetting the Eligible Device to factory settings

Where a Eligible Device is received by Likewize which, when the Eligible Device is turned on, appears not to have been reset to factory settings and Data is immediately obvious from the screen, then the Customer hereby authorises and consents to Likewize taking reasonable actions to wipe or remove any stored data from the Eligible Device by resetting the Eligible Device to factory settings in accordance with Apple’s or the Eligible Device manufacture’s recommended guidelines and utilizing the functions on the Eligible Device to do so. Likewize shall have no further obligations in respect of wiping or removing the Data and Likewize accepts no responsibility for failure to maintain the integrity or confidentiality of any files or data and does not warrant or guarantee that resetting the Eligible Device to factory settings will permanently delete any Data or personal information.. Where any Eligible Device received by Likewize still has a memory card to SIM card then you agree Likewize may remove the memory card or sim card which shall not be returned to you but securely disposed of.

Please note as part of the recycling process it is the intention that the Eligible Device will be resold or transferred to third parties who may subsequently transfer the Eligible Device to others. Likewize has no control over the actions of such third parties and does not know the identity of the parties to whom the Eligible Device may be passed onto. It is therefore important that the Customer removes all personal information and Data relating not just to the Customer but all the Customers contacts and friends from the Eligible Device before providing it to Likewize.

If the Eligible Device is registered as lost or stolen, Likewize will retain it in accordance with the Recycler Charter. The Eligible Device will NOT be returned to Customer nor will there be any gift card given to the Customer unless Customer is able to prove the legitimate ownership of the Eligible Device within 28 days. It is the responsibility of Customer to inform Likewize that they are contesting this decision. If Customer is not able to prove the legitimate ownership of the Eligible Device, it will be treated in accordance with the Recycler Charter requirements.

This Trade-In Programme Purchase Agreement is provided for lawful purposes only, and Customer agrees to indemnify Apple, the APR and Likewize and any of their directors, officers, employees, affiliates, subsidiaries or agents from and against any claims brought against any of them arising from gross negligence or bad faith of the Customer related to this Trade-In Programme Purchase Agreement or for any breach of these terms and conditions attributable to Customer.

Customer expressly accepts that Likewize will under no circumstances be liable for any special, indirect, incidental or consequential damages resulting from this Trade-In Programme Purchase Agreement except for those deriving from bad faith or gross negligence. 

Customer expressly accepts, to the extent permitted by applicable law, that Likewize, the APR and their affiliates’ entire liability, if any, from any cause whatsoever with respect to this Trade-In Programme Purchase Agreement shall not exceed 100% of the discount provided against the purchase of new Apple equipment.

General Data Protection Regulations (GDPR)

Personal Information stored on the Customers Eligible Device may well be personal data as defined by General Data Protection Regulations (GDPR). However if the Customer has carried out their responsibilities set out above (in particular section headed “Customers responsibility for their data”above) there should be no personal data which is apparent on the Eligible Device when Likewize receives the Eligible Device

In the unlikely event that Likewize receives the Eligible Device which still contains personal data Likewize shall not use that personal data for any purpose. Likewize shall, as referred to in section headed “Customers responsibility for their data”above reset your Eligible Device to factory settings so that the personal data is no longer readily present when the Eligible Device is turned on.

The Customer hereby agrees that Likewize may resell or transfer the Eligible Device to a third party having first reset the Eligible Device (where necessary) to factory settings.

Customer is informed that their personal data may be included in a personal data file created by Likewize or an APR and which may be shahred as between Likewize apple and the relevant APR, which Customer consents. The purpose for which the information is used and stored is the management of Trade-In Programme and to deal with this Trade-In Programme Purchase Agreement. The personal data provided will never be used by Likewize for any other purpose than the above described purpose. Customer may exercise the rights of access, rectification, cancellation and opposition to Likewize by sending email to APRSupport.UK@Likewize.com The Customer may also complain to the Information Commissioners office (being the UK’s regulatory body for data protection matters) however Likewize would appreciate an opportunity to resolve any issue before a complaint is made to the Information Commissioners Office.

Applicable Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the Law of England and Wales. If a dispute, controversy or difference is not amicably settled, it shall be finally resolved by jurisdiction of Courts and Tribunals

• Identity and Contact Data from data brokers or aggregators such as Experian based inside or outside the UK or EEA.
• Identity and Contact Data from publicly availably sourcessuch as Companies House and the Electoral Register based inside the UK or EEA.
• Identity and Contact Data from specialist data bases such as CheckMend to verify if a mobile device has been lost or stolen or IMEI data base searches.
• Likewize may receive Personal data from its commercial customers as part of the services it provides to those customers. In such a case it would normally be the customer that is the data controller and Likewize is the data processor. We will not use that personal data for any purpose other than the fulfilment of our contractual obligations to that customer or in accordance with the customers instructions. Special Categories of Personal Data

We do not collect any Special Categories of Personal Data about you (this includes details about your race or ethnicity, religious or philosophical beliefs, sex life, sexual orientation, political opinions, trade union membership, information about your health and genetic and biometric data). Nor do we collect any information about criminal convictions and offences.

This site is intended for use by persons over the age of 13. LIKEWIZE SERVICES UK LIMITED does not seek to collect information about children under the age of 13. No information should be submitted to or posted on this website by users under 13 years of age. If a child under the age of 13 submits personal information to this Site, we delete the information as soon as we discover it and do not use it for any other purpose. If you fail to provide personal data

Where We store your personal data

The data that We collect from you may, subject to the Acts, be transferred to, and stored at, a destination outside the UK or EEA. It may also be processed by staff operating outside the EEA who work for Us or for one of Our suppliers. Such staff maybe engaged in, among other things, the fulfilment of your order, the processing of your payment details and the provision of support services. By submitting your personal data, you agree to this transfer, storing or processing.
